1. Acceptance of these Terms
These Terms of Use (the “Terms”) govern your access to and use of the SpinUp Email hosted business email service and related websites, applications, and support (collectively, the “Services”). By signing up for an account, completing checkout, or otherwise using the Services, you agree to these Terms. If you do not agree, do not sign up for or use the Services.
These Terms are between you (“you,” “your,” or “Customer”) and SpinUp Email (“SpinUp,” “we,” “us,” or “our”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.
We may update these Terms from time to time. Material changes will be communicated by email to the address on file or by posting an updated version at the URL where you found these Terms. Your continued use of the Services after the effective date of an update constitutes acceptance of the updated Terms.
2. The Services
2.1 Description
SpinUp provides hosted business email, including mailbox hosting, webmail, IMAP, POP, and SMTP access, spam and virus filtering, and optional add-on services such as ActiveSync (SpinUp Email Plus) and email archiving. Available plans, fees, and add-ons are described on our pricing pages and may change over time; the plan and add-ons you select at checkout govern your account. Support consists of email-based assistance available on a 24x7x365 basis at support@spinup.com.
2.2 Storage and message-size limits
Standard mailbox plans currently include 25 GB of mailbox storage and 30 GB of associated file storage per mailbox. Individual email messages are limited to 50 MB total size, including attachments; messages that exceed that limit may not be delivered and may be permanently lost. Mail received when a mailbox is at or over its storage limit may also be permanently lost. You are responsible for monitoring your mailbox usage and upgrading or pruning storage as needed. Storage allocations, feature inclusions, and supported clients may be modified by SpinUp from time to time as we improve the Services, provided that any change that materially reduces a committed feature will not take effect on your account until your next renewal period.
2.3 Intended use
The Services are designed for ordinary business email use. They are not designed for sending or receiving high volumes of messages, for use as an automated mail relay, for sending mail from web servers or other automated systems, or as a transactional-email platform. We may impose and adjust reasonable rate limits on outbound mail and recipients per message at any time, in our reasonable discretion, to protect deliverability and the operation of the Services for all customers.
2.4 Domain registration
Where the Services include domain registration, registration is performed through a third-party registrar selected by you. The registrar’s registration agreement and ICANN policies apply to the registered domain in addition to these Terms. SpinUp acts only as an intermediary in submitting registration, renewal, and transfer requests on your behalf and is not responsible for errors, omissions, or failures of the registrar. You are responsible for closing any accounts you previously held with prior registrars and for responding to any inquiries the registrar sends to you.
2.5 Migration assistance
SpinUp may, at no additional charge, assist you with migrating email from a prior provider, subject to availability and technical feasibility. You are responsible for creating a reliable backup of any data to be migrated before migration begins. You acknowledge the inherent risk of data loss or corruption during any email migration, and SpinUp is not liable for any loss, corruption, or unavailability of data in connection with migration assistance.
2.6 Compliance
The Services may include features that can support your regulatory or compliance program (for example, archiving and retention). It is your sole responsibility to determine whether the Services are suitable for your specific compliance needs and to use them in a manner consistent with all laws and regulations applicable to your business. SpinUp does not warrant that the Services are compliant with any particular regulatory regime, including HIPAA, PCI DSS, GLBA, or FERPA.
3. Eligibility and account security
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate and complete information at signup and to keep your account information current. You are responsible for all activity that occurs under your account, including the activity of any users you authorize.
You must safeguard your password, security answer, and any API credentials we issue to you. You agree to notify us promptly at support@spinup.com of any unauthorized access or use of your account. We are not responsible for losses caused by your failure to maintain the confidentiality of your credentials.
4. Fees, billing, and refunds
4.1 Subscription fees
The Services are billed on a recurring monthly subscription basis at the rates shown at checkout. Subscription fees are charged in advance and are calculated based on the number of mailboxes you have provisioned and the add-ons you have selected. Standard mailboxes are currently $3.00 per mailbox/month, with optional SpinUp Email Plus at an additional $1.00 per mailbox/month and Email Archiving at an additional $3.00 per mailbox/month. Fees are exclusive of any applicable taxes, which you are responsible for paying.
4.2 Payment
Payments are processed by our third-party payment processor, Stripe. By providing a payment method, you authorize us (and Stripe) to charge that method for the recurring subscription fees on each renewal date until you cancel. If a payment fails, we may retry the payment and may suspend the Services if an undisputed amount remains overdue for 15 days or more, on written notice. Continued non-payment may result in termination and deletion of your account.
4.3 Money-back guarantee
We offer a 30-day money-back guarantee on subscription charges. If you are not satisfied with the Services, you may request a refund of subscription fees by contacting support@spinup.com within 30 days of your initial subscription charge. The guarantee applies only to your initial subscription period and is measured from the date of your first paid charge, not on a rolling basis. SpinUp does not offer a free trial; the money-back guarantee is the risk-reversal we provide in lieu of a trial period.
4.4 Non-refundable charges
Domain registration fees and domain renewal fees are paid to third-party registrars and are non-refundable once the registration or renewal has been processed, regardless of whether you continue to use the Services. Any one-time setup or professional services fees identified as non-refundable at checkout are likewise non-refundable.
4.5 Fee changes
We may change subscription fees on at least 30 days’ advance notice by email to the address on file. Any fee change will take effect on your next renewal after the notice period expires. If you do not agree to the change, you may cancel under section 5 before the change takes effect.
5. Term, cancellation, and suspension
5.1 Term
These Terms remain in effect for as long as you maintain a SpinUp account or use the Services. The Services are provided on a month-to-month basis with no long-term commitment.
5.2 Cancellation by you
You may cancel your subscription at any time through the Stripe Customer Portal link provided in your account-ready email or by contacting support@spinup.com. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Services through the end of the period for which you have paid, after which your mailboxes and associated data will be deactivated and may be permanently deleted.
5.3 Suspension and termination by SpinUp
We may suspend or terminate the Services, in whole or in part, with or without notice, if:
- You fail to pay an undisputed amount that has been overdue for 15 days or more.
- You breach the Acceptable Use Policy in section 6 or any other material provision of these Terms, or you do not cooperate with our reasonable investigation of a suspected violation.
- Email addresses or IP addresses associated with the Services are blacklisted by a third party, or we are subject to retaliation, complaints from third-party abuse agencies (such as Spamhaus or SpamCop), or excessive or repeated complaints from your recipients, in each case regardless of fault. Such complaints will be deemed grounds for suspension or termination unless you provide compelling evidence to the contrary, to our reasonable satisfaction.
- The Services are subject to attack, or are accessed or manipulated by a third party without your consent, or another event occurs for which we reasonably believe suspension is necessary to protect our network or other customers.
- We reasonably believe your account or activity poses a security, deliverability, or legal risk to SpinUp, our infrastructure providers, or other users.
- We are required to do so by law or by a governmental or regulatory order.
We will use reasonable efforts to notify you of a suspension when not legally prohibited from doing so.
5.4 Effect of termination
On termination, your right to use the Services ends. We may delete your data after termination consistent with our then-current data retention practices. You are responsible for: (a) exporting any data you wish to retain before termination becomes effective; and (b) promptly pointing the DNS records for any domain you connected to the Services away from our systems. Provisions of these Terms that by their nature should survive termination (including sections 4, 6, 7, 9, 10, 11, 12, 13, and 14) will survive.
6. Acceptable Use Policy
6.1 Prohibited content and activity
You may not use the Services to send, store, transmit, facilitate, or solicit any of the following, and you agree that any such use is a material breach of these Terms:
- Unsolicited bulk or commercial email (“spam”), or any email that violates the CAN-SPAM Act, CASL, GDPR, or any other applicable anti-spam, consumer-protection, or privacy law in any jurisdiction in which the message is sent or received. You may only send email to recipients with whom you have a pre-existing business relationship or who have otherwise consented to receive email from you.
- Phishing, spoofing, business-email-compromise, or any attempt to deceive recipients about the source or authenticity of a message.
- Material that is illegal, defamatory, fraudulent, harassing, threatening, obscene, or that infringes another party’s intellectual property or privacy rights.
- Child sexual abuse material (CSAM) or any content that exploits, endangers, or otherwise harms minors. Such content will be removed without notice and reported to law enforcement.
- Malware, viruses, ransomware, worms, trojans, or any code designed to disrupt, surveil, exploit, or damage any system or data.
- Attempts to probe, scan, or breach the security of the Services or any other system, or to evade rate-limiting, spam-filtering, or other protective measures.
- Use of the Services to operate a mail relay, gateway, or resale email service for third parties without our prior written consent.
- Activity that creates technical disturbances for other SpinUp customers or for our systems generally, or sending in volumes or patterns that, in our reasonable judgment, jeopardize deliverability or the operation of the Services.
6.2 No shared mailboxes
Each mailbox is licensed to one natural person and may be used by one person at a time. Logging into a single mailbox simultaneously from multiple sessions or users, or using automated tools (such as Fetchmail or similar utilities) to virtualize one mailbox into multiple effective mailboxes, is prohibited. If you need additional mailboxes, you must purchase them through your account.
6.3 No automated or transactional use
Mailboxes are not designed for automated use, such as sending email from web servers, sending high-volume marketing or transactional email, or receiving email from automated systems. Such use is unsupported and may be rate-limited or terminated. Attempts to circumvent the limits in section 2.3 by using multiple accounts or other means are a material breach of these Terms.
6.4 Enforcement
We may, at our sole discretion, investigate suspected violations of this section 6 and take any responsive action we consider appropriate, including removing content, suspending or terminating accounts, sharing the content of suspected junk or abusive mail with third-party abuse agencies and trade groups, and cooperating with law enforcement. Outbound sending volumes are subject to commercially reasonable rate limits which we may adjust to protect the Services.
7. Customer Data and privacy
7.1 Ownership and license
As between you and SpinUp, you own all email content, contacts, calendars, files, and other data that you store on or transmit through the Services (“Customer Data”). You grant SpinUp a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely as necessary to provide and support the Services.
7.2 Your privacy obligations
You are responsible for ensuring that your collection, storage, and transmission of Customer Data through the Services complies with all applicable laws, including data-protection and privacy laws, and for obtaining all consents required from data subjects.
7.3 Safeguards and no advertising use
SpinUp implements commercially reasonable technical and organizational safeguards designed to protect Customer Data against unauthorized access, disclosure, or destruction. We do not sell Customer Data, and we do not employ technology to read the contents of your email to target, display, or send advertising.
7.4 Routing data and aggregate analytics
The Services generate technical metadata about the transmission of email (“Routing Data”), including server hostnames, IP addresses, timestamps, mail-queue identifiers, and spam-filtering signals. We may use Routing Data and non-identifying usage data (for example, your use of SMTP, IMAP, POP, and filtering features) for our general business purposes, including operating, securing, and improving the Services. We may disclose this information to third parties only in aggregate statistical form that does not identify you.
7.5 When SpinUp personnel access mailbox content
Our personnel may, where reasonably necessary, view the contents of your mailboxes or log into your mailboxes only for the following purposes: (a) to respond to a support request you have submitted; (b) to assist you with mailbox configuration, folder permissions, or troubleshooting send- and-receive issues; (c) to attempt restoration of mailboxes or messages following accidental deletion; (d) to investigate a delivery dispute you have raised; (e) to verify the integrity of backups; (f) to mitigate junk mail or abuse; and (g) where required by law. Access for any other purpose requires your prior consent.
7.6 Junk mail
Mail captured by our spam filter or reported by you or other users as undesirable (collectively, “Junk Mail”) may be shared with independent third-party abuse agencies and trade groups for the purpose of assisting in industry initiatives to control unwanted email.
7.7 Subprocessors
We may engage third-party subprocessors to provide infrastructure, hosting, deliverability, spam and virus filtering, payment processing, analytics, and customer-support tooling. These subprocessors are bound by confidentiality and data-protection obligations consistent with these Terms.
8. Your responsibilities
You are responsible for:
- Administering your account, including adding and removing mailboxes, managing storage, configuring spam filters, and managing settings through the tools we provide.
- Configuring DNS records (including MX, SPF, DKIM, and DMARC) for any domain you connect to the Services in accordance with the instructions we provide, and pointing those records away from our systems promptly upon termination of the Services.
- Maintaining at least one independent, current backup of any Customer Data you cannot afford to lose. The Services are not designed as a primary backup or archival system, and deletion-recovery features should not be relied on as a substitute for your own backups.
- Maintaining functioning
abuse@andpostmaster@addresses for each domain you connect to the Services, in accordance with industry standards. By default we provision these addresses on your domain and our personnel may review the mail received at them to respond to abuse and deliverability issues; you may instead forward these addresses to a contact within your organization. - Ensuring that your end users’ use of the Services complies with these Terms, and promptly removing or remediating any content or activity on your account that breaches the Acceptable Use Policy when notified by SpinUp.
- Cooperating with our reasonable investigation of any outage, security incident, or suspected violation of these Terms affecting your account.
- Retrieving any data you wish to retain before terminating the Services or deleting a mailbox. Deleted messages and mailboxes may be recoverable for a limited period through the webmail interface or admin tools, but recovery is not guaranteed and the available window may change without notice.
9. Service availability and filtering
9.1 Availability
We target 100% uptime for mailbox availability and use commercially reasonable efforts to make the Services continuously available. Mailbox availability is measured as the ability of an authenticated user to connect to their mailbox over a supported protocol, excluding scheduled maintenance, emergency maintenance, and any unavailability caused by: (a) factors outside our reasonable control, including events listed in section 12.3; (b) your acts or omissions, including misconfigured DNS, blocked credentials, or breaches of these Terms; (c) third-party services, networks, or devices not under our control; or (d) suspension or termination of the Services in accordance with these Terms. Our uptime commitment is provided as a service standard; it does not constitute a service level agreement with predefined credits unless we expressly agree to one in writing.
9.2 Maintenance
We may perform regularly scheduled maintenance on the Services within published maintenance windows, and may also perform unscheduled emergency maintenance to address security threats or other non-routine events that affect the reliability or performance of the Services. Brief delays while the Services transition between redundant system components are also considered maintenance. For scheduled maintenance expected to last more than 20 minutes, we will use reasonable efforts to provide advance notice, but we do not guarantee a specific notice period.
9.3 Spam, virus, and content filtering
The Services include filtering features designed to reduce spam, phishing, and malware-laden mail. You acknowledge that the technological limitations of any such filter will result in some legitimate email being captured and some unwanted email being delivered. Mail that is quarantined or rejected by the filter is excluded from the availability measurement in section 9.1. To the maximum extent permitted by law, you release SpinUp and its employees, agents, suppliers, and affiliates from any liability or damages arising from (a) the filter capturing legitimate email, (b) the filter failing to capture unwanted email or email containing malware or sensitive data, or (c) email you send failing to reach its intended recipient as a result of filtering by the recipient’s mail provider.
10. Modifications to the Services
We may modify, add to, or discontinue any portion of the Services at any time. We will use reasonable efforts to communicate material changes in advance and to avoid unannounced removal of features that customers actively rely on. If we discontinue a paid feature you are actively using before your next renewal, you may cancel under section 5 and receive a pro-rata refund for the remaining unused portion of the affected feature.
11. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPINUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. SPINUP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED, AND DISCLAIMS LIABILITY FOR ACTS OR OMISSIONS OF YOU OR ANY THIRD PARTY, INCLUDING UPSTREAM EMAIL PROVIDERS, REGISTRARS, AND PAYMENT PROCESSORS, EXCEPT TO THE EXTENT REQUIRED BY LAW.
12. Limitation of liability
12.1 Cap on damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SPINUP AND ITS SUPPLIERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, UNDER ANY THEORY OF LAW, WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID SPINUP FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
12.2 Excluded damages
IN NO EVENT WILL SPINUP BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, ANTICIPATED SAVINGS, GOODWILL, OR REPUTATION, EVEN IF SPINUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.3 Force majeure
Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events outside its reasonable control, including significant failure of a part of the power grid or the Internet, natural disaster or weather event, fire, acts or orders of government, war, riot, insurrection, epidemic, pandemic, strikes or labor action, terrorism, or denial-of-service attacks.
13. Indemnification
You agree to defend, indemnify, and hold harmless SpinUp and its officers, directors, employees, agents, suppliers, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services in violation of these Terms or applicable law; (b) Customer Data or content you transmit through the Services, including any claim that it infringes another party’s intellectual property, privacy, or other rights; (c) your breach of the Acceptable Use Policy; or (d) acts or omissions of any user you authorize to access your account.
14. Confidentiality
Each party agrees to use the other party’s non-public business information disclosed in connection with the Services only for purposes of performing or using the Services and to protect it with at least the same degree of care it uses to protect its own confidential information of a similar nature, and in any event no less than reasonable care. These confidentiality obligations do not apply to information that is or becomes publicly available without breach of these Terms, was already lawfully known to the receiving party without restriction, is independently developed without use of the disclosing party’s confidential information, or is required to be disclosed by law (with prompt notice to the other party where legally permitted).
15. Intellectual property
SpinUp and its licensors retain all right, title, and interest in and to the Services, including all software, documentation, graphics, logos, and trademarks. We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the term of these Terms solely for your internal business purposes. You retain all right, title, and interest in and to your Customer Data subject to the license granted in section 7.
You agree not to (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile, or attempt to derive source code from the Services, except to the extent this restriction is prohibited by applicable law; (c) resell, sublicense, or provide the Services as a service to third parties without our prior written consent; or (d) remove or obscure any proprietary notices on the Services.
16. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which SpinUp is principally located, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts of competent jurisdiction in that location, and each party consents to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Neither party may bring a claim more than one year after the cause of action accrued. Claims may not be brought as a class or collective action.
17. General provisions
Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
Notices. We may send notices to you by email to the address on file or by posting them in your account dashboard. Legal notices to SpinUp must be sent to support@spinup.com with the subject line “Legal Notice.”
Severability and waiver. If any provision of these Terms is held unenforceable, the remaining provisions will continue in effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. A failure to enforce a provision is not a waiver of the right to do so later.
Entire agreement. These Terms, together with any order confirmation and any other terms expressly incorporated by reference, constitute the entire agreement between you and SpinUp regarding the Services and supersede any prior or contemporaneous understandings.
